1. TERMINOLOGY & PREVAILING LAW
“Client”, “You”, and “Your” refers to the person accessing this website and accepting the Company’s terms. “The Company”, “Ourselves”, “We”, and “Us”, refers to Jorion Technologies. All terms refer to the offer, acceptance, and consideration of payment necessary to undertake the process of our assistance to the Client in accordance with and subject to the prevailing law of Nigeria.
2. COOKIES & PRIVACY
We employ the use of cookies. By using our website, you consent to the use of cookies in accordance with our privacy policy. Cookies enable us to retrieve user details for each visit to enhance functionality and ease of use.
3. LICENSE & INTELLECTUAL PROPERTY
Unless otherwise stated, Jorion Technologies and/or its licensors own the intellectual property rights for all material on this website and all proprietary code developed. All intellectual property rights are reserved.

4. HYPERLINKING & IFRAMES
Hyperlinking: Specific organizations (Government, Search Engines, News) may link to our website without prior approval. Other organizations must notify us via email at itsupport@jorionng.com. Links must not be misleading or falsely imply sponsorship.
IFrames: Without prior approval and express written permission, you may not create frames around our Web pages or use other techniques that alter the visual presentation of our website.
Removal of Links: We reserve the right to request that you remove all links to our website. We also reserve the right to amend these linking terms at any time.
5. ONE-TIME FIXED PROJECTS (DEVELOPMENT)
Project Kickoff: The official countdown of a project begins only after the development/initiation fee has been paid and all required website contents (text, images, branding) have been sent by the Client.
Website Delivery: If project completion is delayed by more than 2 weeks due to Client inaction (missing content/feedback), Jorion Technologies reserves the right to bill the remaining balance immediately.
Late Fees: If the website is completed and the balance remains unpaid after 1 week, we reserve the right to apply a 10% late fee for each additional week of delay or temporarily disable the service.
6. WEBSITE AS A SERVICE (WaaS)
Subscription Model: WaaS is a recurring service. Failure to pay the monthly or annual fee within 5 days of the due date will result in the temporary suspension of the website and associated professional emails.
Access Rights: Upon cancellation of a WaaS plan, the Client loses access to the managed hosting environment.
Ownership & Migration: Because WaaS is a service-based model, the underlying architecture remains the property of Jorion Technologies. If a Client wishes to migrate a WaaS site to their own private hosting, a Migration & Asset Handover Fee will be calculated based on the project size.
7. MAINTENANCE PLANS
Scope of Edits: If your project is on a maintenance/renewal plan, we provide a maximum of 3 website edits per month. These include content updates, product additions, or minor layout adjustments.
Technical Support: Maintenance covers security patches and uptime monitoring. Major new feature developments are treated as separate project additions.
8. “WEBSITE MARK” ON DEVELOPED SITES
Jorion Technologies reserves the right to place a website mark in the footer of every page developed (e.g., “Website by Jorion Tech” or “Developed and Maintained by Jorion Tech”). This text will be hyperlinked to our official website. This mark can only be removed for certain qualified projects or by paying for a “White Labelling Fee.”
9. REFUND POLICY
Initiation/Setup fees are non-refundable, as they cover the immediate purchase of software licenses and resource allocation. For projects in general, once technical work or environment provisioning has commenced, the initial deposit is committed to project resources. After 1 week of the website launch, no paid amounts are refundable.
Summary: We offer a Resolution Guarantee on technical fixes and a 3-day satisfaction window for new maintenance subscriptions. By engaging any of our services and agreeing to these Terms, you explicitly agree to the full details outlined in our Refund Policy.
10. CONTENT LIABILITY & INDEMNITY
We shall have no responsibility or liability for any content appearing on your website. You agree to indemnify and defend us against all claims arising out of or based upon your website. No links may appear on any page containing material that may be interpreted as libelous, obscene, or criminal.
11. PAYMENT PROCESSING & FEES
For international transactions (PayPal, Wire Transfers, or requested alternatives), a 5% Processing & Network Fee is applied to cover exchange rate volatility and gateway costs. We reserve the right to use visual representations of final products in our project portfolios.
12. DISCLAIMER
To the maximum extent permitted by applicable law, we exclude all representations and warranties relating to our website and the use of this website. We will not be liable for any loss or damage of any nature as long as the website and information on the website are provided free of charge.
Jorion Technologies may, at any time and at our sole discretion, modify these Terms and Conditions. Continued use of our services constitutes acceptance of these modified terms.
